Pre-Closing Inspection, LLC - Terms of Service & Service Policy

Welcome to Pre-Closing Inspection, LLC. By scheduling or purchasing our services, you ("Client") agree to be bound by the following terms and conditions. This policy forms a part of your binding Service Agreement with Pre-Closing Inspection, LLC ("Company").
1. Nature of the Inspection & Scope of Service

Visual and Non-Invasive: Our inspection is a professional, non-invasive, visual examination of the readily accessible systems and components of the property as they exist at the time of the inspection. It is not a technically exhaustive investigation and does not include dismantling of any systems or components.

Not a Warranty or Guarantee: The inspection report provides a "snapshot in time" of the property's condition. It is not a warranty, guarantee, or insurance policy against future defects or failures. The Company is not responsible for latent defects or conditions that are not visible during the inspection.

Scope of Work: The specific services to be performed are detailed in the "Scope of Services" section of the Service Agreement signed by the Client, corresponding to either the "Standard Pre-Listing Inspection" or the premium "Home Health Score™".
2. Payment Terms and Financial Obligations

Payable at Closing: The fee for the inspection service is due and payable from the Client's proceeds at the successful closing of the sale of the Property. The Client agrees that a successful closing is a
condition precedent to this payment method. The Client irrevocably authorizes their real estate agent and the designated title/escrow company to pay the Company's invoice in full from the closing proceeds.

Backup Payment Guarantee: If a sale of the Property does not close for any reason within 180 calendar days from the date of the Service Agreement, or if the listing agreement for the Property is terminated or expires, the full inspection fee becomes immediately due. The Client authorizes the Company to charge the fee to the credit card provided as a backup payment method in the Service Agreement.

Cancellation Fee: Cancellations or rescheduling requests must be made at least 24 hours prior to the scheduled inspection time. A cancellation fee of $125 may be charged for cancellations made with less than 24 hours' notice or if the inspector is unable to gain access to the property at the scheduled time.
3. Client Responsibilities

Property Access: The Client must ensure that the property is safe and that all areas, systems, and components to be inspected are accessible and have utilities (water, electricity, gas) turned on at the time of the inspection.

Seller's Disclosure: The Client acknowledges their legal obligation to disclose all known material facts and defects about the Property to prospective buyers. The inspection report may identify conditions that the Client is legally required to disclose.

Accurate Information: The Client agrees to provide accurate and complete information, including legal names of all property owners, property address, and payment details.
4. Inspection Report

Confidentiality: The inspection report is the confidential property of the Client and is for the Client's exclusive use.

Third-Party Reliance: The Company assumes no liability or responsibility for the use of the inspection report by any third parties (including but not limited to prospective buyers, real estate agents, or contractors). The report is intended for the sole benefit of the Client who commissioned it.
5. Limitation of Liability & Dispute Resolution

Limitation of Liability: The Client agrees that the Company's liability for any and all claims, including negligence, errors, or omissions in the inspection or the report, is limited to the fee paid for the inspection service. This limitation applies to any and all damages or costs arising from the service.

Statute of Limitations: Any legal action arising from this Agreement or the inspection service must be commenced within one (1) year from the date of the inspection.

Governing Law: This Agreement and any disputes arising from it shall be governed by the laws of the State of Michigan.

Dispute Resolution: Any dispute arising out of this Agreement shall be resolved by mediation or, if mediation fails, by binding arbitration in accordance with the rules of the American Arbitration Association, to be held in the state of Michigan.
6. General Provisions

Entire Agreement: This policy, together with the executed Service Agreement, constitutes the entire understanding between the Client and the Company, superseding all prior discussions or agreements.

Severability: If any provision of this policy is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No Assignment: The Client may not assign their rights or obligations under this Agreement to another party without the prior written consent of the Company.
By proceeding with the booking, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service & Service Policy.
